Terms of Service

These Terms of Service (“Terms”) are an agreement between you and Agee Ventures, LLC (“Agee Ventures,” “we,” “us,” or “our”) for use of FieldService at usefieldservice.com and app.usefieldservice.com (the “Service”).

By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

The Service

FieldService is software for home service businesses to manage customers, jobs, estimates, invoices, and related records. Features may change over time. We may add, modify, or remove functionality.

The Service is provided as-is. We do not offer a service level agreement (SLA) and do not guarantee uptime, availability, or that the Service will be error-free or uninterrupted.

Eligibility and accounts

You must be able to form a binding contract and use the Service only for lawful business purposes. You are responsible for your account credentials and for activity under your account, including activity by people you invite.

You must provide accurate information and keep it current. Notify us at hi@usefieldservice.com if you believe your account has been compromised.

Trial and paid subscription

New accounts start with a 7-day trial. After the trial, continued use of the Service requires a paid subscription at then-current prices. If you do not subscribe, we may limit or close access to the account.

Subscription fees, billing intervals, and available plans may change. We will describe current pricing on the website or in the product when you subscribe. Taxes may apply.

You are responsible for canceling before a renewal if you do not want to continue. Except where required by law, fees already paid are non-refundable.

Your data

You own the customer, job, estimate, invoice, and other business records you enter into the Service. You grant Agee Ventures a limited license to host, process, and display that data only as needed to operate, secure, and support the Service.

You are responsible for the accuracy and legality of data you store, and for having any consents required to collect or use your customers’ information. Our Privacy Policy describes how we handle information.

Acceptable use

You may not:

• Use the Service for unlawful, fraudulent, or harmful activity
• Attempt to gain unauthorized access to the Service or other accounts
• Interfere with or disrupt the Service, including by overloading, scraping in an abusive way, or introducing malware
• Misrepresent your identity or your relationship to a customer
• Resell the Service except as we expressly allow in writing

We may investigate suspected abuse. We may suspend or terminate accounts that violate these Terms, harm the Service, or create legal or security risk, with or without notice.

Payments through the Service

If you accept customer payments through FieldService, those payments are processed by Stripe. Stripe’s terms apply to payment processing. Agee Ventures is not a bank and is not responsible for Stripe’s services, payout timing, chargebacks, or card-network rules.

Termination

You may stop using the Service at any time and may request account deletion by emailing hi@usefieldservice.com.

We may terminate or suspend access if you violate these Terms, fail to pay after the trial, or if we discontinue the Service. Upon termination, your right to use the Service ends. We may delete account data after a reasonable period, subject to legal retention needs.

Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGEE VENTURES DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT DATA WILL NEVER BE LOST.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGEE VENTURES AND ITS OWNERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO AGEE VENTURES FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM.

Governing law

These Terms are governed by the laws of the State of Tennessee and the United States, without regard to conflict-of-law rules. Courts located in Tennessee will have exclusive jurisdiction over disputes, except that we may seek injunctive relief in any jurisdiction to protect the Service.

Changes to these Terms

We may update these Terms. The “Last updated” date will change when we do. Continued use of the Service after an update means you accept the revised Terms. If you do not agree, stop using the Service and request account closure.
